Shareholders’ Obligations and Responsibilities


1. Pay for Subscribed Shares

Provide the capital they committed

• Shareholders must pay the price of the shares they subscribe to during incorporation or when new shares are issued.
• This forms the paid-up share capital of the company and supports business operations.

 
2. Comply with the Company Constitution

Follow the company’s internal rules

If the company adopts a constitution, shareholders must comply with provisions relating to:
• transfer of shares
• voting rights
• shareholder meetings
• decision-making procedures
• dividend distribution rules

 
3. Participate in Shareholder Meetings and Decisions

Attend and vote at meetings

Shareholders exercise their control through decisions made at general meetings, such as:
• appointment or removal of directors
• approval of major transactions
• amendment of the constitution
• approval of issuance of new shares
• approval of company restructuring

 
Approve resolutions

Shareholders participate in passing company resolutions pursuant to Companies Act 2016:
• Ordinary Resolution – simple majority (>50%)
• Special Resolution – normally at least 75% approval

 
4. Comply with Shareholders’ Agreements (If Any)

Respect contractual arrangements between shareholders

Where a shareholders’ agreement exists, shareholders must comply with its terms, which may include:
• restrictions on transferring shares
• rights and obligations among shareholders
• management participation
• dispute resolution procedures
